Merchant Terms of Service

Effective 4 October 2026. This version replaces every earlier version of these terms.

These terms apply to business accounts that sell with Shoppi: the marketplace listing, websites, the POS app and payment links. If you are a shopper, the terms that apply to you are our Terms of Use and Return & Refund Terms.

1. Who we are

Shoppi is run by three companies. The one you contract with depends on where your business is established:

Payments for marketplace orders are processed by Shoppi Ltd, which operates the Stripe Connect platform for all merchants. In these terms "Shoppi", "we" and "us" mean the company you contract with and, for marketplace payments, Shoppi Ltd. "You" means the business that opens the account. Contact: [email protected].

2. Business use only

A Shoppi business account is for traders acting in the course of their trade, business, craft or profession. By opening one you confirm that you are not a consumer. The person who accepts these terms confirms they are authorised to bind the business.

3. Your account

  • Every business account needs a paid plan. There is no free plan.
  • Your details must be true, complete and kept up to date. One business, one account, unless we agree otherwise in writing.
  • To receive payments you connect your own Stripe account and complete Stripe's identity checks (KYC). Stripe's own terms apply to that account.
  • You keep your login details confidential and tell us at once about any unauthorised use.

4. Plans and prices

Plans are priced per touchpoint (a shop, a till, a website). The current prices are those shown on shoppi.cloud/pricing when you order. At the effective date they are:

  • Listing, $5 / €5 / £5 a month: your shop page on the Shoppi marketplace, at shoppi.app/your-name, with an unlimited catalogue and no per-listing fee. The free address your-name.shoppi.site leads to that page; it is not a separate website. With the POS app this plan includes up to 30 card payments per calendar month for each touchpoint.
  • Starter, $29 a month and Business, $79 a month (or the local equivalent shown at checkout): a website and unlimited card payments. A custom domain requires the Business plan.
  • Add-ons (for example continuous automatic catalogue sync or the site builder) are priced and billed as shown when you order them.

Plans are paid in advance, monthly or yearly, through Stripe. Prices do not include VAT or sales tax; where tax applies it is added at checkout. We may change prices for future billing periods: we tell you by email at least 30 days before, and you can cancel before the new price applies.

5. Fees on payments

  • Your own sales (POS, your website, payment links, QR menu orders): Stripe charges its fee at Stripe's published rate, and Shoppi charges 0.4% + 1¢ per payment (1p in the UK, 1 cent in euro) on top. There is no other per-payment charge from Shoppi.
  • Marketplace orders (orders placed on shoppi.app or in the Shoppi apps): Shoppi charges 10% of the order amount, and nothing else. The 10% already includes payment processing: no Stripe fee and no 0.4% + 1¢ is added to marketplace orders.
  • Fees are deducted automatically from each payment or payout. If an order is refunded, the marketplace fee is reduced in proportion to the refunded amount.

6. Free trial

Where offered, the POS app includes a free trial of 14 days, once per touchpoint, without a payment card. At the end of the trial card payments stop until you choose a plan.

7. If a payment fails or a plan ends

We never delete your account because a plan has ended. While no plan is active:

  • your website and free address show a "site expired" page, and the account cannot be edited until you choose a plan again;
  • card payments through the POS app and payment links stop;
  • 30 days after expiry we may release your address (your-name.shoppi.site and similar), so another business can register it. Your data is kept, and choosing a plan again restores your account.

8. Cancellation

You can cancel any plan at any time from your account or by writing to [email protected]. The plan stays active until the end of the period already paid. Periods already paid are not refunded, except where the law requires it. We may end the contract with 30 days' notice by email, or immediately for a serious breach of these terms.

9. Selling on the marketplace

  • You are the seller of every product you list, and the contract of sale is between you and the buyer. You set your prices and stay in control of them.
  • You are responsible for accurate product information, prices, stock, shipping, delivery, returns, warranties and taxes, and for complying with the consumer law of the buyer's country, including withdrawal rights.
  • Buyers pay through Shoppi's checkout. We release the payout, net of the 10% fee, to your connected Stripe account after we have confirmed the order. We may hold a payout while we review an order for suspected fraud, a dispute or a breach of these terms.
  • Refunds, chargebacks and dispute fees on your orders are charged to your connected account.
  • You may not list illegal, counterfeit, dangerous or age-restricted products, or products that infringe someone else's rights. We may remove listings and suspend accounts that break this rule.

10. Catalogue import

Every plan includes a basic catalogue import from a WooCommerce store, a product feed or a CSV file. Continuous automatic synchronisation is a separate paid add-on. You confirm that you have the right to use everything you import or upload.

11. Your content

You keep ownership of your content: texts, photos, videos, logos and product data. You allow Shoppi, free of charge and for as long as the content is on Shoppi, to host, adapt (for example resize or translate) and show it on Shoppi's websites and apps, in search engines, in product feeds and in Shoppi's advertising, in order to promote your products. You can remove content at any time; copies already in third-party caches may take time to disappear.

12. Acceptable use

You must not use Shoppi to break the law, to send spam, to harm the service or other users, or to get around its limits. We may suspend an account where this is needed to protect buyers, other merchants or the service, and we will tell you why unless the law prevents it.

13. Data protection

We process personal data as described in our Privacy Policy. Where we process personal data on your behalf (for example your customers' data in the POS app or on your website), the Data Processing Agreement applies and forms part of these terms.

14. Availability

We work to keep Shoppi available at all times but do not promise uninterrupted service. Planned maintenance is carried out, where possible, at times of low traffic.

15. Liability

Nothing in these terms limits liability for intent, gross negligence, injury to life, body or health, or any liability that cannot be limited by law. Otherwise, each party's total liability under these terms in any 12 months is limited to the fees you paid to Shoppi in those 12 months, and neither party is liable for indirect loss or loss of profit.

16. Changes to these terms

We may change these terms for good reason, for example new features or a change in the law. We send you the new terms by email at least 30 days before they apply. If you do not agree, you can cancel before that date at no cost.

17. Law and courts

These terms are governed by the law of the country of the Shoppi company you contract with (Germany, the State of New York, or England and Wales). The courts of that company's registered seat have jurisdiction, as far as the law allows. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
